Terms of service

Quick answer. These are business-to-business terms. An order becomes binding only when we confirm it in writing, and every product is supplied for laboratory research only.

These terms govern quotations, orders, supply and delivery of products by Made in China Peptide. By requesting a quotation or placing an order, the buyer accepts them.

1. About these terms

These terms apply to all quotations, order confirmations, invoices and shipments unless a separate written agreement signed by both parties expressly overrides them. If there is a conflict, the order confirmation prevails over these terms, and these terms prevail over any buyer purchase order or standard terms.

2. Definitions

3. Eligibility

We sell only to business buyers. The buyer must be at least 21 years old, must be authorised to bind its organisation, and must confirm that the products will be used for laboratory research only in accordance with our research-use-only statement. We may request evidence of the buyer's business status or intended research use before accepting an order.

4. Products and specifications

Products are supplied against the specification in the quotation and the batch COA. The COA for the shipped lot is the authoritative record of identity, purity, water content and any additional tests. Product images are illustrative; vial, label and packaging may vary by batch and configuration.

We do not warrant that a product is suitable for any particular research model, assay or formulation. That determination belongs to the buyer. Nothing on this site is medical, veterinary or dosing advice.

5. Quotations and pricing

6. Orders and acceptance

An order is an offer to buy. It becomes binding only when we issue a written order confirmation. We may decline an order where we cannot verify the buyer, where the destination is restricted, where the requested use appears inconsistent with the RUO statement, or where compliance checks are incomplete.

7. Payment

8. Shipping, title and risk

Shipment terms are stated on the order confirmation using Incoterms® 2020. Unless stated otherwise, risk passes to the buyer at the point specified by the Incoterm. Title passes on receipt of full payment. Delivery estimates are made in good faith but are not guarantees; customs, carrier and weather delays are outside our control.

The buyer is responsible for import clearance, duties, taxes and any permit or licence required at destination. See shipping and customs.

9. Inspection and claims

The buyer must inspect the shipment promptly on receipt. Claims for shortage, damage or non-conformance must be notified within the claim window stated in the returns policy, with photographs, the batch number, the vial and the COA. Late claims may be declined where the evidence cannot be verified.

10. Returns

Returns require a written return authorisation. Products that have been reconstituted, opened, improperly stored or custom-labelled may not be returnable. Remedies are limited to replacement, credit or refund as set out in the returns policy.

11. Compliance with laws and export controls

The buyer must comply with all applicable laws, including import/export controls, sanctions, customs rules and restrictions on the destination. The buyer must not resell to a restricted party or use the products in a prohibited application. We may suspend or cancel an order where a legal or sanctions concern arises.

12. Intellectual property

Site content, product copy, images and documentation remain our property or that of our licensors. The buyer may use the COA and product documentation for its internal compliance and customer-support purposes. No other licence is granted. Buyer-supplied artwork remains the buyer's property; the buyer warrants that it has the right to use it.

13. Confidentiality

Each party will keep confidential the other's non-public commercial, technical and pricing information and use it only for the supply relationship. This does not apply to information that is public, independently developed, or required to be disclosed by law.

14. Warranties and disclaimers

We warrant that products conform to the specification and batch COA at the time of shipment and that we have the right to supply them. Except for that warranty, products are supplied "as is" for research use. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. Nothing in these terms excludes liability that cannot lawfully be excluded.

15. Limitation of liability

To the extent permitted by law, our total liability for any claim arising from an order is limited to the amount paid for the affected products. We are not liable for indirect, incidental, consequential or punitive loss, including lost profits, lost research time, reputational harm or downstream claims, even if advised of the possibility. This limitation does not apply to fraud, wilful misconduct or death/personal injury caused by our negligence where such limitation is prohibited.

16. Indemnity

The buyer indemnifies us against claims, losses and costs arising from the buyer's use, resale, labelling or distribution of the products, including any claim based on a use that is inconsistent with the RUO statement or applicable law.

17. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, war, civil unrest, port closures, carrier failures, regulatory action or supplier disruption. The affected party will notify the other and use reasonable efforts to resume performance.

18. Suspension and termination

We may suspend or terminate supply if the buyer breaches these terms, fails to pay, misrepresents its eligibility or intended use, or if we are required to do so by law. Termination does not affect accrued rights, confidentiality, indemnity or liability provisions.

19. Governing law and disputes

These terms are governed by the laws of the jurisdiction stated on the order confirmation. The parties will first attempt to resolve a dispute in good faith through written notice and discussion within 30 days. If unresolved, the dispute will be referred to the courts or arbitral forum specified on the order confirmation. Nothing prevents either party from seeking urgent injunctive relief.

20. Changes to these terms

We may update these terms from time to time. The version published on this page at the time of the order confirmation governs that order. Material changes will be reflected in the "last updated" date.
